Merger & Acquisition, Divestitures and Financing

Successful mergers, acquisitions, and divestitures take vision and planning. Before you begin, it is important to know exactly what you want from the transaction you are contemplating.

Keiter Stephens guides businesses, private and public, in analyzing and coordinating all aspects of the transaction so that the results are most favorable.

The exact process will depend on your goals. Typically the business value is determined and funding requirements are identified. Due diligence is necessary whether you are a buyer, seller, or investor.

By working with you at an early stage, we are able to understand your business and help identify your needs. If you are a seller, we help you maximize the business’ value. If you are in the market to acquire, it is important to make sure the acquisition is a good fit for you and your organization.

We are also well-prepared to assist you with structuring a transition so that it is taxably efficient. This approach minimizes net cash outflows for a purchaser and maximizes net cash received by a seller after taxes.

Through our relationships with investment bankers we connect you with additional expertise in mergers, acquisitions, and divestitures. Our capital raising services include growth capital, private debt placement, private equity, and working capital and term financing.

Let Keiter Stephens give you the confidence that your decisions are based on solid facts and the right considerations.

Success Stories

Two Keiter Stephens principals helped a large specialty contractor client to assess strategic business and tax planning opportunities. Because of their industry’s consolidation trend, and "roll-up" strategies deployed by public companies dominant in the industry, we recommended that the owners should consider an immediate exit strategy. We suggested sale to one of the public companies could command a selling price potentially double that of historical sales of comparably sized contracting businesses.

A few weeks later, when our client was contacted by one of those public companies, they were ready and equipped with strategies to command top dollar! Much to the delight of our clients, ensuing discussions resulted in an offer in the range we estimated and the sale was complete within five months of our recommendation.

Keiter Stephens is also very active in M & A work in the foodservice industry. Click Here for additional success stories in this service area.
